Confidentiality Agreement

Effective Date: 8/26/23

This Confidentiality Agreement (“Agreement”) is entered into between Independent Decentralized Finance (“Disclosing Party”) and any user accessing or using the services provided by the Disclosing Party through the website https://independence.finance (“Website”).

1. Definition of Confidential Information

“Confidential Information” refers to any information, data, materials, or knowledge disclosed by the Disclosing Party to the user, whether orally, in writing, electronically, or through any other means, that is not publicly known and is designated as confidential or should be reasonably understood to be confidential based on the nature of the information and the circumstances of disclosure.

2. Protection of Confidential Information

a. The user agrees to maintain the confidentiality of the Confidential Information and not to disclose, reproduce, distribute, or otherwise disseminate the Confidential Information to any third party without the prior written consent of the Disclosing Party.

b. The user agrees to use the Confidential Information solely for the purpose of engaging with the services provided by the Disclosing Party through the Website and shall not use such information for any other purpose without the prior written consent of the Disclosing Party.

3. Exceptions

The obligations set forth in this Agreement shall not apply to any information that:

a. Was already in the possession of the user without an obligation of confidentiality prior to the disclosure by the Disclosing Party.

b. Is or becomes publicly available through no fault of the user.

c. Is rightfully obtained by the user from a third party without an obligation of confidentiality.

d. Is independently developed by the user without reference to the Confidential Information.

4. Remedies for Breach

a. The user acknowledges that unauthorized use or disclosure of the Confidential Information may cause irreparable harm to the Disclosing Party. In the event of a breach or threatened breach of this Agreement, the Disclosing Party shall be entitled to seek injunctive relief, in addition to any other remedies available at law or in equity.

b. The user agrees to indemnify and hold the Disclosing Party harmless from any losses, damages, liabilities, and expenses (including reasonable attorney’s fees) arising from any breach of this Agreement.

5. Duration of Agreement

This Agreement shall remain in effect from the Effective Date, unless otherwise terminated by written agreement between the parties or until the Confidential Information becomes publicly available through no fault of the user.

6. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of Denver, Colorado, USA, without regard to its conflict of law principles.

7. Entire Agreement

This Agreement constitutes the entire understanding between the parties concerning the subject matter hereof and supersedes all prior agreements and understandings, whether written or oral.

By accessing or using the services provided by the Disclosing Party through the Independent Decentralized Finance Website, you acknowledge that you have read, understood, and agree to the terms of this Confidentiality Agreement.
